Terms & Conditions of Trade
1. Contracted Parties
Nortec Fire Ltd, a company registered by shares (12033485), registered at Clavering House, Clavering Place, Newcastle upon Tyne NE1 3NG.
Customer, as detailed in quotation, invoices, certificates of work, or any other documentation supplied by Nortec Fire.
2. Quotations
Quotations are valid for 30 days. Acceptance shall be when the Customer has confirmed in writing (email will suffice) or instructed Nortec Fire to carry out works, or agreed a future date for works.
3. Pricing
a) Annual service contracts will be priced according to travel time, work on-site, the number of devices in the system, complexity and make of equipment.
b) Additional charges will be applicable for parts and labour as necessary; charged per hour on site for normal time or call-out as per quotation.
c) Out-of-hours call-out charges (Monday to Friday 20:00hrs to 06:00hrs, all day Saturday and Sunday) will be charged per hour as per quotation.
d) Quantities and materials supplied will be as quoted, but Nortec Fire reserves the right to substitute materials or parts in the event of discontinuation or obsoletion.
e) Nortec Fire reserves the right to adjust the quoted pricing in the event the specification or the term of the contract and/or works changes by Customer demand.
f) Prices quoted will be subject to value-added tax (VAT) at the current rate and will become payable when Nortec Fire provides bona fide evidence of the work’s completion and the amount due.
g) For contracts for more than 12 months, Nortec Fire will apply an appropriate inflationary increase at annual anniversary in line with RPI.
4. Payment
i) Payments on account will be payable in full 30 days from invoice date by bank transfer to the Nortec Fire Ltd bank account. Late payments may be subject to interest. Nortec Fire supports the Late Payment of Commercial Debt (Interest) Act 1998.
ii) If you would like different payment terms to 30 days, we reserve the right to adjust our quoted prices to reflect accordingly.
iii) Same-day payments can be made via credit card and for contracted amounts less than £250 this will be required.
5. Delivery
a) When quoting for works with the Customer, we will endeavour to meet original estimates and will ensure the Customer is kept up to date with ongoing variations to the delivery dates.
b) Time shall not be of the essence.
c) Any quality issues or defects in goods supplied must be reported within 48 hours in writing (email will suffice).
6. Term, Cancellation and Termination
a) The term of the contract shall be detailed on the quotation or service agreement and if no term is given it is assumed to be a rolling contract until termination.
b) Annual service contracts commence from date of acceptance by the Customer and run for 12 months from that date. Any service visits will need to be included before the expiry date.
c) Termination means a period of no less than 1 month’s notice given in writing to the Nortec Fire address or given to the Customer at their address for no less than 1 months’.
7. Warranties, Insurances and Liabilities
a) Any goods supplied as part or in completion of works will be subject to manufacturers’ warranties.
b) Works are contracted under insurance cover.
c) Subject to liabilities for death or personal injury incurred as a result of Nortec Fire’s negligence, Nortec Fire will not be liable for any loss or damage, including loss of profits, goodwill or revenue, or consequential loss, howsoever caused.
d) In the event that damage is caused to the Customer’s property, Nortec Fire will not be held liable and will not (without the Customer paying additional costs) be responsible for making good any loss or damage.
8. Retention of Title
Title for goods supplied by Nortec Fire shall not pass to the Customer until the full value of the contracted works has been paid.
9. Assignment
Nortec Fire reserves the right to assign the contract in part to a subcontractor, however, the condition and quality of the service provided will remain the same. Any assignment will be made for part of the contract and not in its entirety.
10. Confidentiality
Nortec Fire and the Customer will both treat the contract, information and commercial terms as confidential and shall not disclose to any third party.
11. Disputes
In the unlikely event that the contracted works or terms and conditions are not fulfilled without dispute, the Customer must provide (in writing to the registered address of Nortec Fire) the full details of the dispute within seven (7) days.
12. Law
a) By accepting the quotation and allowing works to start or complete, the Customer accepts these terms and conditions in their entirety and no changes will be assumed to have been made, either verbally or in writing, without express permission of a Director of Nortec Fire.
b) The contract in its entirety will be governed by English law and subject to exclusive jurisdiction of the English courts.
